Welcome to Marketplace Meal Kits, a program operated by Main Street Marketplace & Meeting Place ("Marketplace", "we", "us", or "our"). By accessing www.marketandmeeting.org (the "Site") or subscribing to our meal kit service (the "Services"), you agree to these Terms of Use (the "Terms") without modification.

 

IMPORTANT NOTICE: These Terms include automatic renewal provisions and a binding arbitration clause with class action waiver. Please read carefully before agreeing.

 

 

1. ACCEPTANCE OF AGREEMENT

To use our Services, you must:

 

• Be at least 18 years of age

• Reside in the area accessible to pick up your order located at 308 S. Main Street, China Grove, NC 28023

• Not be prohibited from using the Services under applicable laws

 

If you do not agree with these Terms, you may not access or use our Services.

 

 

2. CHANGES TO TERMS

We reserve the right to update these Terms at any time. We will provide notice of material changes by email and/or by posting a notice on our website at least 30 days before the effective date. Continued use of the Services after changes become effective constitutes your acceptance.

4. YOUR ACCOUNT

5. OUR SERVICES

Marketplace Meal Kits offers subscription-based, locally sourced meal kits designed to feed 3-4 people per meal. Each kit supports access to nutritious food and invests in local farms and community welfare.

 

 

6. SUBSCRIPTION TERMS AND AUTOMATIC RENEWAL

AUTOMATIC RENEWAL DISCLOSURE

IMPORTANT: YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AND YOUR PAYMENT METHOD WILL BE CHARGED UNLESS YOU CANCEL BEFORE THE RENEWAL DATE.

Subscription Details

• Service: Weekly meal kit delivery subscription

• Billing Frequency: Weekly, every Tuesday at 11:59 PM Eastern Time

• Renewal Terms: Your subscription automatically renews each week for successive one-week periods

• Cancellation Deadline: You must cancel by Monday at 11:59 PM Eastern Time to avoid charges for the following week's delivery

Billing Information

• Initial Charge: Processed immediately upon signup

• Recurring Charges: Every Tuesday at 11:59 PM Eastern Time for the following week's meal kit

• Amount: Based on your selected meal plan (pricing displayed during checkout)

• Payment Methods: We accept major credit and debit cards

How to Cancel

You can cancel your subscription at any time using any of these methods:

Cancellation is immediate and takes effect for the next billing cycle. You will receive email confirmation of your cancellation.

North Carolina Residents - Additional Rights

If you are a North Carolina resident and your subscription term exceeds 60 days, we will send you written notice by email between 15-45 days before automatic renewal. This notice will include:

 

• The date your subscription will automatically renew

• Reminder that the subscription will renew unless you cancel

• Instructions on how to cancel

• Our contact information

 

 

7. CANCELLATION POLICY

Cancellation Process

• Deadline: Cancel by Monday at 11:59 PM Eastern Time to avoid the next week's charge

• Confirmation: You will receive email confirmation within 24 hours

• Effective Date: Cancellation takes effect for the next billing cycle

Orders Already Processed

Orders marked "Processed" in your account cannot be canceled. Processing occurs on Tuesday at 12:00 AM Eastern Time for that week's delivery.

How to Cancel

Use any method listed in Section 6 above. Cancellation is free and does not require speaking to a representative unless you choose the phone option.

 

 

8. PAYMENT TERMS

Authorized Charges

By subscribing, you authorize us to charge your payment method for:

 

• Initial subscription fee

• Recurring weekly subscription fees

• Applicable taxes

• Any additional items you add to your order

Payment Processing

• Initial Charge: Processed immediately upon signup

• Recurring Charges: Every Tuesday at 11:59 PM Eastern Time

• Failed Payments: May result in service suspension after 3 attempts

You must keep your payment information current. Update payment methods in your account settings or contact us at brianna@marketandmeeting.org.

 

 

9. PROMOTIONS

Promotional offers may not be combined unless explicitly stated. Promotions have no cash value and cannot be transferred. Specific terms will be provided with each promotion.

 

 

10. REFUNDS

We do not accept returns of food products, but we stand behind our service. If there's an issue with your delivery, contact us at brianna@marketandmeeting.org within 30 days for potential resolution or credit.

 

Refund requests for subscription fees may be considered on a case-by-case basis within 30 days of the charge.

 

 

11. COMMUNICATIONS CONSENT

SMS and Text Messages

By providing your phone number, you consent to receive automated text messages about your subscription, including:

 

• Order confirmations and updates

• Delivery notifications

• Account alerts

 

To opt out, reply "STOP" to any message. Message and data rates may apply.

Email Communications

You consent to receive emails regarding your subscription, including renewal notices required by law.

 

 

12. THIRD-PARTY LINKS AND TOOLS

Our Site may include third-party tools or links. We are not responsible for third-party content or services. Use at your own risk.

 

 

13. LIMITATIONS OF USE

You agree not to misuse our Site or Services. Unauthorized access or illegal activity may result in account termination and legal action.

 

 

14. INTELLECTUAL PROPERTY

All Site content, trademarks, and copyrights are property of Main Street Marketplace or its licensors. Use of our content without permission is prohibited.

 

 

15. INTERNATIONAL USE

Our services are offered to U.S. residents only, specifically those in our service area around China Grove, NC. We do not guarantee compliance with laws outside the U.S.

 

 

16. ALLERGEN DISCLAIMER

IMPORTANT ALLERGEN NOTICE: Our meal kits may contain or be prepared in facilities that handle common allergens including wheat, soy, milk, eggs, fish, shellfish, tree nuts, peanuts, and sesame.

 

You are solely responsible for reviewing all ingredients before consuming any items. If you have food allergies, consult the ingredient list provided with each meal kit.

 

 

17. DISPUTE RESOLUTION AND ARBITRATION

Binding Arbitration

Subject to the exceptions below, you and Marketplace agree to resolve disputes through binding arbitration instead of court litigation.

Exceptions

The following disputes are not subject to arbitration:

 

• Small claims court actions (under $5,000)

• Disputes seeking injunctive relief for intellectual property violations

Arbitration Process

• Administrator: American Arbitration Association (AAA)

• Rules: AAA Consumer Arbitration Rules

• Location: North Carolina or via video conference

• Fees: We will pay arbitration fees for claims under $10,000

Class Action Waiver

YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS OR REPRESENTATIVE PROCEEDINGS.

Opt-Out Right

You may opt out of arbitration by emailing admin@marketandmeeting.org within 30 days of first using our Services.

 

 

18. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

 

• Our maximum liability is limited to the amount you paid for Services in the 3 months prior to the claim

• We are not liable for indirect, incidental, or consequential damages

• This limitation applies regardless of the theory of liability

 

 

19. INDEMNITY

You agree to hold us harmless from claims arising from:

 

• Your use of the Site or Services

• Your breach of these Terms

• Your violation of any law or third-party rights

 

 

20. GOVERNING LAW

These Terms are governed by North Carolina state law and applicable federal law, without regard to conflict of law principles.

 

 

21. ELECTRONIC COMMUNICATIONS

You consent to receive communications electronically and agree that electronic notices have the same legal effect as written notices.

 

 

22. SEVERABILITY

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

 

 

23. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Marketplace regarding the Services.

North Carolina law provides additional protections for automatic renewal subscriptions:
